Compensation Analysis of Chief Executive Officers for LSE Techmark & AIM listed Companies

January 14th 2008 – Following Renovata Partners’ earlier report on the remuneration of Chief Financial Officers, we conducted a report examining the remuneration of Chief Executive Officers (CEOs) of technology companies traded on the London Stock Exchange (LSE) Techmark & AIM markets with revenues below £200m. Based on a total sample of 105 companies, we analysed the latest earnings data for CEOs at different stages of a public company’s growth in order to assist our clients in reaching informed decisions about suitable CEO remuneration, and to provide information for CEO candidates when evaluating their existing and potential compensation relative to their peers in the market.
Our results showed that CEOs of Techmark companies earn more than CEOs of AIM listed companies, as indicated by the difference in mean base salary (Techmark: £249,169; AIM: £154,370) and in mean total remuneration (Techmark: £394,576; AIM: £207,391). This finding was not surprising. CEOs of Techmark companies are generally expected to have more experience (e.g., having managed larger businesses before or having previously been the CEO of a public company) than CEOs of AIM listed companies. The finding may also be due to the difference in company revenues between the two markets. In our sample the average Techmark company had considerably higher revenues than the average AIM listed company (mean company revenue: Techmark: £54.62m; AIM: £18.08m).

However, we found that CEOs of Techmark companies should expect to receive less percentage equity than their counterparts on the AIM market. This finding can again be attributed to the difference in company revenues between the two markets. Since smaller AIM listed companies are considered higher risk, more equity incentive is usually offered to join AIM listed companies.

We (CEOs, Boards, and headhunters) often assume there is a positive relationship between scale (revenue) and salary/remuneration, and a negative relationship between scale and percentage equity. However, we obtained unexpected results across all of the above assumptions. On the Techmark, there is little correlation between scale and salary/ remuneration, and between scale and percentage equity. On the AIM market, there is a correlation between scale and remuneration, but not between scale and percentage equity.

One possible explanation for this observed discrepancy between the relationship between scale and remuneration for Techmark versus AIM listed companies may again be due to the difference in company revenues between Techmark and AIM listed companies. 93% of AIM companies have company revenues of less than £40m. However, there is a considerably wider spread in terms of company revenues for Techmark companies - Techmark companies are generally “larger”. One might speculate that there is a larger relative difference between managing a business of £3m versus £30m, than a business of £75m versus £100m. This relative difference may ultimately bring about a significant positive relationship between revenue and remuneration for AIM, but not for Techmark, companies.

Another common assumption is that there is a trade-off between cash (e.g., salary) and equity. Surprisingly yet again, our results revealed the exact reverse relationship: the higher the base salary of CEOs, the higher the percentage equity that is offered to them. This was found for both Techmark and AIM listed companies. Cash compensation is usually considered to be a function of previous work experience. Since cash is positively linked to equity, our finding suggests that companies are paying a premium for experience with the aim of reducing executional risk.

Finally, we observed a considerable spread in salary, remuneration, and equity offered in both markets, as indicated by the 75% range (assessed by ordering the data set by magnitude and omitting the top and bottom 12.5% of the data, respectively). This finding suggests that it is difficult to identify a “market rate” for CEOs’ compensation. Hence, hiring negotiations are likely to boil down to particular circumstances, such as personal financial circumstances, the risk profile, the demands of the role, or the particular company profile.
